THE "IN A BAND? - WIN A VAN" CONTEST ("Contest")

2007 OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. SPONSORS: Guitar Center Stores, Inc., 5795 Lindero Canyon Road, Westlake Village, CA 91362 ("Guitar Center") and TuneCore, 20 Jay Street, Suite 7A2, Brooklyn, NY 11201 ("TuneCore") (collectively, "Sponsor" or "Sponsors"). "Sponsors and their agents" shall mean Guitar Center; TuneCore; their respective advertising/promotional and/or fulfillment agencies; their respective parent companies, affiliates, and subsidiaries; and their respective employees, officers, directors and agents. The prize provider for this Contest shall be Guitar Center ("Prize Provider"). The contest administrator shall be Guitar Center.

3. ELIGIBILITY: This Contest is open only to legal residents in the contiguous 48 states of the U.S. and the District of Columbia who as of May 31, 2007: (i) Are in some form of band or musical group of any type or size, (ii) Are 18 years of age or older; and (iv) Who have Internet access. Void in Puerto Rico, Alaska, Hawaii and wherever prohibited or restricted by law. Subject to all applicable federal, state and local laws. Employees of Guitar Center, TuneCore and each of their respective parent companies, affiliates, subsidiaries, divisions, and advertising and promotional agencies and their respective officers, directors and agents (collectively, the "Contest Entities") and the immediate family members and persons living in the same household of each are not eligible.

4. HOW TO ENTER: This Contest begins at 12:00:01 p.m. PST on June 1, 2007, and ends 11:59:59 p.m. PST on June 30, 2007. To enter the Contest, go to www.guitarcenter.com, click on the designated Contest link, which is www.guitarcenter.com/winavan, and follow the instructions to enter the Contest, at which time you will be given specific instructions and prompted to: (a) enter information, including your name, address, phone number, email address and date of birth, (b) write an essay of 1,000 (one thousand) words or less according to the specifications below (by following the categories constituting the Criteria below), typewritten in electronic media ("Essay"); and (c) submit your Essay in .doc, .rtf, .pdf or .txt format by uploading the Essay according to the onscreen instructions (each an "Entry").

All Essays must be wholly original to and created solely by Entrant. No third party assistance of any kind is permitted on any Essay. Essays must not contain any intellectual property including, without limitation, any copyrights, patents or trademarks, which is not owned by Entrant.

Each Essay should address the following:

  • (i) Provide a brief rundown of how your band or musical group could benefit from having a new van as transportation;
  • (ii) Tell us your best tour story and how it has changed your life (if you don't yet have a good tour story, tell us your dream tour story);
  • (iii) List and discuss ten (10) things you and your band would always keep in the van (or touring transportation vehicle); and
  • (iv) Elaborate on the dedication you or your band has for performing music publicly.

Each Essay will be judged by a panel of three professionals from the advertising or public relations industries, and/or Sponsors' executives, each possessing knowledge and/or experience concerning commercial writing, reading and proofing of written materials for advertising and/or journalism purposes (the "Judges"). Each Judge will judge each eligible Essay to determine how effectively, clearly and creatively each eligible Essay communicates and demonstrates the Entrant's special relationship with touring and performing music publicly in each of the areas, (i) - (iv) listed above that each Essay must address (the "Criteria"). The Judges will give each of the Criteria equal weight. Using the criteria, the Judges will select the top ten Essays from all eligible Entries ("Top Ten") and then another qualified judge (that has at least equal qualifications to judge the Contest as those described for the Judges above) (the "Final Judge") will score those Top Ten Essays by applying a point scale of 1-20 (with 1 point being the lowest score and 20 points being the highest score) to each Criteria. The Top Ten will then be ranked from highest total points to lowest total points based on the scores they received from The Final Judge. The entrant from the Top Ten with the highest total points will be the potential winner ("Potential Winner"). In the event of a tie, the Judges also will score the tied entries from the Top Ten Essays by applying a point scale of 1-20 (with 1 point being the lowest score and 20 points being the highest score) to each of the Criteria. The total points the tied entries receive from all four Judges will then be added to the total points they received from The Final Judge and the entrant with the highest total points will be the Potential Winner. Only one Entry per email address or household is allowed. If more than one such Entry is submitted, only the first such Entry submitted will be accepted. Any attempt by an entrant to obtain more than the allowable entries by using multiple/different e-mail addresses, identities or any other methods will void all of that entrant's entries.

By entering, entrants agree to comply with these Official Rules including all eligibility requirements. By submitting an Essay, the Entrant grants the Sponsors the rights (and the Potential Winner may be further required to sign a Submission Agreement, which will include expressly granting to Sponsors all the rights necessary for the Sponsors) to display the Essay for promotional, advertising and other purposes (in the Sponsors sole discretion). Illegible and/or incomplete Entries and Entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Sponsor and its agents are not responsible for lost, late, or misdirected Entries, for technical, hardware or software failures of any kind, for lost or unavailable network connections, or for failed, incomplete, garbled or delayed computer transmissions or any human error which may occur in the receipt or processing of the Entries. Proof of entering an Essay or information at website does not constitute proof of delivery or receipt. Sponsor reserves the right to modify the scheduling of the Contest without prior notification. Use of computer programs, macro, programmed, robotic, automatic and other similar means to enter the Contest is prohibited and may result in the disqualification of the entrant. Third party assistance to any Entrant with their Essay is also prohibited and, if discovered by the Judges or Sponsors, will result in the disqualification of the entrant. In the event of a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed to be submitted by the person in whose name is on the entry form with the winning Essay on the date the Entry is submitted. All Entries become the sole property of the Sponsor and will not be acknowledged or returned.

5. POTENTIAL WINNER SELECTION AND NOTIFICATION: The Judges, whose decisions are final and binding on all matters relating to the Contest, will select the Top Ten in accordance with the procedures set forth in Section 4 above on or about July 20, 2007. The Final Judge will then judge the Top Ten and select a Potential Winner from the Top Ten and the Judges will break any tie in accordance with the procedures set forth in Section 4 above on or about August 5, 2007. Entrants need not be present to win. The Potential Winner will be notified by telephone or e-mail ("Prize Notification") and he/she must provide by e-mail within 10 (ten) days of the date of the Prize Notification (the "Deadline"), the Potential Winner's full name and a mailing address ("Mailing Information"). The mailing address must be a street address (no P.O. Boxes). If the Potential Winner does not provide the Mailing Information in response to the Prize Notification by the Deadline, the Potential Winner will be disqualified and the entrant with the next highest total score from the remaining Top Ten will be selected as the alternate Potential Winner.

Once Sponsor receives Mailing Information from a Potential Winner, a Submission Agreement, Affidavit of Eligibility, a W-9 tax reporting form, and a Liability/Publicity Release (collectively, the "Contest Documents") will be sent to the Potential Winner via overnight mail.

The Potential Winner (or, in the event that the Potential Winner is an eligible minor, his/her parent or legal guardian) must sign and return the Contest Documents within 10 (ten) days of the date of receipt or he/she will forfeit the Grand Prize and an alternate Potential Winner will be selected. Provided that the Potential Winner has complied with these Official Rules and meets all of the eligibility requirements set forth herein, following Sponsor's receipt of the signed Contest Documents, Sponsor shall declare the Potential Winner the Winner ("Winner"). Return of any Prize Notification or Contest Documents as undeliverable will result in disqualification, and an alternate Potential Winner will be selected from the Top Ten, and Sponsor shall repeat the Winner selection and notification procedures set forth in this Section 5 until a qualified Winner has been selected.

6. PRIZES AND ODDS OF WINNING:

Grand Prize: One (1) grand prize will be awarded to one (1) contestant (the Winner). The grand prize shall consist of all of the following equipment listed below (each prize, a "Prize" and all Prizes together, the "Grand Prize") (ARV $33,000.00).

  • Ford E-150 XL Wagon (the "Van"); ARV of the Van: $26,445
  • $5,000 Cash
  • One (1) year of internet access ARV: $1,055
  • $500 Gasoline Card, good for purchases of gasoline (the "Gas Card"); ARV of the Gas Card $500

Total ARV of Grand Prize: $33,000.00

It is impossible to determine the odds of winning as this contest is judged upon skill alone, with no component of chance.

7. PRIZE CONDITIONS: Selection and specifics of all elements of the Grand Prize will be determined at the Sponsor's sole discretion. The Grand Prize and all elements thereof are subject to availability. No cash redemption or prize substitution allowed, except by the Sponsor, who reserves the right in its sole discretion to substitute cash value or another prize it believes is of equal or greater value. Prizes are non-transferable. The Grand Prize will be awarded. The Grand Prize will be awarded "AS IS" and without WARRANTY OF ANY KIND, express or implied (including without limitation, any implied warranty of merchantability or fitness for a particular purpose).

8. TAXES AND COSTS RELATED TO THE PRIZES: All applicable taxes, including all federal, state, local and other taxes and any license, destination and delivery charges are the sole responsibility of the Winner. All costs, expenses and incidentals not specifically mentioned herein are not included and are solely the responsibility of Winner. Winner may be required to fill out (and sign) a W-9 tax form and may be issued a 1099 tax form for the ARV of the Grand Prize.

9. GENERAL CONDITIONS: By participating in this Contest, entrants agree: (a) to be bound by these Official Rules, the decisions of the Judges, the Guitar Center Privacy Policy and the TuneCore Privacy Policy; (b) to release and hold harmless Sponsors and the Contest Entities and their respective agents from any and all claims, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, or related to their participation in the Contest and/or their participation in in the use of any Prize or any Prize-related activities (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)); (c) to be contacted by Sponsor via e-mail and telephone; and (d) that entrants agree that the Sponsors have been expressly granted all the rights to necessary for the Sponsors to display the Essay for promotional, advertising and other purposes (in the Sponsors sole discretion) . By accepting the Grand Prize, Winner (or if the Winner is an eligible minor as defined in his/her state of residence, his/her parent/legal guardian) consents to the use of his/her name and/or likeness (including his/her voice, biographical information, city and state of residence, statements, photograph) for advertising and promotional purposes without additional compensation (except if Winner is a resident of TN or where prohibited by law). Sponsor reserves the right to make changes or additions to these Official Rules and/or extend the dates of this Contest for any reason at any time. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. INTERNET: If for any reason the Contest is not capable of running as planned, including infection due to computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Sponsor reserves the right to disqualify any individual it finds who tampers with the entry process, operation of the Contest or web site, and to cancel, terminate, modify, or suspend the Contest without notice and to select the winner from all eligible Entries received prior to the cancellation or termination. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, problems or technical malfunctions of any computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or Entry to be received by Sponsor on account of human error, technical problems or traffic congestion on the Internet or at any Web site, theft or destruction, or unauthorized access to, or tampering with or hacking of website, any combination thereof, or otherwise, including any injury or damage to any entrant's or any other person's computer related to or resulting from participation in the Contest.

11. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY ALTER OR DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

12. DISPUTES: Each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court in Los Angeles County, California; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys fees and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and the Sponsor in connection with this Contest shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than those of the State of California.

13. WINNER'S LIST: For a winner's list, send a self-addressed stamped envelope to: "IN A BAND? - WIN A VAN" Winner's List, c/o Guitar Center Stores, Inc., P.O. Box 5111, Thousand Oaks, CA 91359-5111, to be received no later than October 1, 2007.
